TIDONIX TERMS OF SERVICE & SYSTEM USAGE AGREEMENT
Document Revision: 1.2.0
Effective Date: October 12, 2026
Last Revised: November 2, 2026
IMPORTANT NOTICE: THIS AGREEMENT GOVERNS YOUR USE OF ALL TIDONIX HARDWARE CONTROLLERS, FIRMWARE, MOBILE APPLICATIONS ("TIDONIX CONTROL"), CLOUD COMMUNICATION CHANNELS, AND WEB DASHBOARD PLATFORMS OPERATED BY TIDONIX LLC. BY CONNECTING HARDWARE, INSTALLING THE APP, OR CREATING AN ACCOUNT, YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING BINDING ARBITRATION AND A WAIVER OF CLASS ACTION CLAIMS IN SECTION 15. SECTION 8 EXPLAINS, IN PLAIN LANGUAGE, WHAT DATA THE SYSTEM COLLECTS AND HOW WE USE IT.
1. The Tidonix Ecosystem & Parties
This Agreement is entered into by and between you ("User", "Operator", or "Client") and Tidonix LLC ("Tidonix", "we", "us", or "our"), a Texas limited liability company. This Agreement applies uniformly to: (a) physical Tidonix hardware automation units, boards, enclosures, and accessories ("Hardware"); (b) the TidoniX Control mobile application ("Mobile App"); (c) local Bluetooth Low Energy (BLE) and Wi-Fi provisioning utilities; (d) the cloud-hosted device management broker and APIs; and (e) the Tidonix browser-based commercial fleet dashboard ("Web Dashboard").
2. Intended Use, Installation & DIY Assumption of Risk
Tidonix Hardware is a low-voltage supervisory controller powered by external Class 2 supplies. Strict installation and application protocols apply:
- Intended Application Restriction: Tidonix hardware is engineered, marketed, and intended exclusively for the automation of swimming pools, spas, and aquatic facilities. Deploying the controller in any other application (including but not limited to industrial manufacturing, agricultural irrigation, or home heating systems) immediately voids all warranties, licenses, and support, and fully releases Tidonix LLC from any liability for subsequent damages.
- Continuous Cloud Account Requirement: To maintain the standard Tidonix hardware warranty, the controller must remain linked to an active, valid Tidonix cloud account. This continuous connection is strictly required for the delivery of critical over-the-air (OTA) safety patches and diagnostic telemetry.
- Professional Installation & Warranty Activation: To activate the standard warranty, the system must be installed by a licensed professional (e.g., Licensed Electrician or Certified Pool Technician). The installer must complete the Warranty Registration within 30 days of installation.
- Strict Adherence to Instructions: All hardware must be installed strictly in accordance with official Tidonix installation manuals and wiring diagrams. Failure to follow these specific directions immediately voids all warranties and releases Tidonix LLC from liability.
- Warranty Scope (Parts Only): Any approved warranty claim is strictly limited to the repair or replacement of defective Tidonix hardware components. The warranty expressly excludes all costs associated with labor, on-site service calls, and shipping or freight charges.
- DIY Installation & Release of Liability: If a user elects to perform a Do-It-Yourself (DIY) installation, the user assumes 100% of all associated risks, including electrocution, fire, and property damage. In all DIY scenarios, Tidonix LLC assumes zero liability. DIY warranty claims are strictly conditional upon physical engineering inspection by Tidonix.
3. Alpha/Beta Evaluation Hardware & Pre-Release Software
Tidonix may provide early-access users with pre-release prototype hardware ("Evaluation Units") and beta mobile application software ("Beta Software"). If you are utilizing an Evaluation Unit, the following strict conditions apply:
- Regulatory Certification Status: Evaluation Units are distributed solely for testing, feedback, and engineering evaluation. These units may not yet carry final regulatory approvals, including but not limited to FCC (Federal Communications Commission) Part 15 emissions certification or NRTL (Nationally Recognized Testing Laboratory) safety listings.
- Assumption of Interference Risk: Because the Evaluation Unit may not be fully FCC certified, it may cause radio frequency interference. By operating the unit, the Beta Tester assumes full responsibility for any local network or radio interference and agrees to immediately power down the unit if instructed by Tidonix or local authorities.
- Absolute Release of Beta Liability: Beta Software and Evaluation Units are provided strictly "AS IS" with all faults. They may contain bugs, erratic relay logic, or hardware defects that could cause the pool equipment to behave unpredictably. The Beta Tester unconditionally assumes 100% of the risk of property damage, equipment failure, and data loss, fully releasing Tidonix LLC from any and all claims related to the operation of pre-release prototypes.
4. System Limitations: Not a Life-Safety Device & Mandatory Independent Safeties
Although Tidonix LLC meticulously engineers, tests, and quality-controls our hardware and software, no complex electronic system is entirely immune to software bugs, component degradation, unexpected glitches, or hardware design flaws. Unless a specific Tidonix product is explicitly marketed, labeled, and certified in writing by Tidonix LLC as a primary life-safety protection system, it is strictly a supervisory controller and NOT a replacement for primary safety devices or emergency shutoffs.
- Independent Third-Party Safeties Required: In accordance with standard local building codes and safety regulations, Tidonix strictly mandates that all connected equipment (including but not limited to pool heaters, electrolytic chlorinators, boilers, furnaces, and underwater lighting) MUST possess their own independent, hardware-based safety cutoffs (e.g., thermal high-limits, pressure relief valves, flow switches, and GFCI/RCD breakers).
- Mandatory Safety Inspections: The user is strictly responsible for ensuring that these independent safety mechanisms are regularly inspected, professionally maintained, and fully operational at all times to protect against any upstream control failure.
- Absolute Liability Release for Malfunctions: In the event of a Tidonix system malfunction—whether caused by an external lightning strike, a firmware bug, a failed electronic component, a software glitch, or a design flaw—the connected equipment's internal physical safeties must act as the ultimate fail-safe. Tidonix LLC assumes absolutely zero liability for catastrophic events (including heater explosions, chlorinator gas accumulation, chemical fires, property damage, injuries, or loss of life) resulting from a control system failure combined with the absence, bypass, or failure of the user's independent safety systems.
- Freeze Protection & Weather Risks: Digital freeze-protection schedules rely on continuous power, internet access, and sensor accuracy. Tidonix is not a substitute for proper seasonal winterization. Tidonix LLC is not liable for burst pipes, flooded vaults, or freeze damage.
- Water Chemistry, Balancing & Treatment Suggestions: Sensor readings, water-balance values and water-care suggestions (including suggested amounts and any printed or shared copy) are estimates provided for your convenience only. They are calculated from the values you enter, your pool settings and common pool-industry standards. Test strip colors differ between brands, so each reading must come from the color chart of your own test strip or test kit. Tidonix does not guarantee water quality, water balance, or the result of any treatment.
- Your responsibility: anyone who buys, stores, handles or adds pool chemicals is responsible for doing so according to each product label and its safety data sheet (SDS), local rules and good pool practice. The safety points shown in the app are reminders and do not cover every situation. Test the water again after each step, and if the readings or the water get worse, stop and ask a pool professional.
- If you are not comfortable working with pool chemicals, do not use the suggestions yourself; a pool professional can treat the water for you.
- Acceptance: before the first suggestions, the app asks you to accept these points; the acceptance is recorded with your account and the time. If you pass a plan on to someone else, please pass these points on too.
- No liability: to the fullest extent permitted by law, Tidonix LLC is not liable for algae, cloudy water, equipment corrosion or staining, surface damage, property damage, personal injury, or any other loss related to the condition of the water or to the use, storage or handling of pool chemicals.
- Mandatory External Emergency Shut-Off (E-Stop): Users must install a dedicated, easily accessible physical master circuit breaker, emergency power disconnect switch, or E-Stop relay entirely separate from the Tidonix controller. In the event of any suspected erratic behavior, electrical glitch, component failure, or system malfunction involving the Tidonix controller, its peripherals, or any connected third-party equipment (such as pumps, heaters, or chlorinators), the user or operator must immediately throw this physical master switch to cut all power and prevent further damage, property loss, or injury. Tidonix LLC assumes zero liability for damages resulting from the lack of an independent emergency disconnect or the failure to immediately cut power during an abnormal event.
5. User Infrastructure Duties, Surge Protection & Power Interruptions
The Tidonix System requires a continuous, secure, and stable internet connection and a reliable electrical power source to function properly. Providing and maintaining this secure network, a stable power grid, and adequate electrical surge protection is the 100% sole responsibility of the user.
- Mandatory Surge Protection: The user is strictly responsible for installing adequate external surge and transient voltage protection on the power supply feeding the Tidonix controller and all connected equipment.
- Warranty Exclusion for Power Damage: The Tidonix hardware warranty does not cover, and is immediately voided by, damage to internal circuitry (including microcontrollers, transistors, or relays) caused by electrical surges, lightning strikes, unstable grid voltage, or short circuits originating from the user's power source or unprotected circuits.
- Liability Release for Surge-Induced Failures: If a lightning strike, power surge, or grid fluctuation damages a Tidonix component (such as forcing a transistor or relay to fuse closed and continuously power a heater or chlorinator), Tidonix LLC assumes zero liability for any resulting downstream damages, including explosions, fires, property destruction, injuries, or loss of life.
- Infrastructure Interruptions: In the event of network disruption, Wi-Fi dropout, ISP outages, or electrical power fluctuations, the Tidonix Hardware may lose cloud communication, reboot, or fail to execute scheduled routines. Tidonix LLC is not liable for any malfunctions, missed schedules, or biological loss resulting from internet instability or power interruptions.
6. Third-Party Equipment, Required Certifications & EMI Hazards
When orchestrating third-party equipment (such as Variable Speed Pumps, actuators, heaters, or electrolytic salt cells via digital relays or RS-485 interfaces):
- Equipment Certification Mandate: Any auxiliary equipment, pumps, heaters, or sensors connected to the Tidonix controller MUST carry applicable independent, universally recognized safety certifications (e.g., UL, ETL, CSA, or equivalent NRTL) demonstrating compliance with local electrical and building codes.
- Prohibition of Uncertified Equipment & EMI Risks: The use of uncertified, modified, cheaply manufactured, or counterfeit high-voltage equipment is strictly prohibited. Uncertified motors and pumps lack proper shielding and can generate severe Electromagnetic Interference (EMI) or high-voltage electrical feedback that can permanently damage, freeze, or destroy the Tidonix controller's internal circuitry.
- Absolute Liability Release: Connecting uncertified equipment to Tidonix relays immediately voids the Tidonix hardware warranty. If EMI, electrical feedback, or mechanical failure from an uncertified third-party device causes the Tidonix system to malfunction (e.g., a relay fusing closed), Tidonix LLC assumes zero liability for any resulting downstream damage to the system, property, or lives.
- Hydraulic Dynamics: All hydraulic acceleration, deceleration ramp rates, maximum RPM ceilings, and pressure thresholds must be permanently programmed into the third-party device's internal firmware. Tidonix is not liable for hydraulic shock, water hammer, plumbing ruptures, or blown filter grids resulting from automated sequences.
7. Third-Party Integrations, External Data (Weather/APIs) & Limited Data Transmission
The Tidonix System integrates with external third-party service providers, cloud infrastructure, and data platforms—including but not limited to cloud computing brokers (e.g., Amazon Web Services / AWS), meteorological and weather data feeds (e.g., the National Weather Service / NOAA and commercial weather APIs), geocoding services (e.g., Google Maps API), voice assistants (e.g., Amazon Alexa), and any other third-party services Tidonix LLC currently uses or may implement in the future, with or without prior notice.
- External Data Disclaimer (Delays, Errors & Inaccuracies): All third-party data, weather forecasts, temperature reports, and API responses are provided strictly "AS IS." Tidonix LLC does not control, verify, or guarantee the timeliness, availability, or accuracy of external feeds. If a third-party service transmits inaccurate, delayed, corrupt, or missing data—or experiences an API outage—causing the Tidonix app or hardware controller to execute delayed, erroneous, or failed automated actions (including, but not limited to, freeze protection cycles triggering late or failing to engage, smart filtration miscalculating runtimes, or weather cutoffs failing to activate), Tidonix LLC assumes absolute zero liability for any resulting damages, including burst pipes, equipment freeze damage, pump cavitation, chemical imbalance, or algae blooms.
- Mandatory Independent Verification: Automated weather-based features (e.g., Smart Filtration and Freeze Guard) are auxiliary conveniences. Users remain strictly responsible for monitoring local climate conditions and independently verifying pool freeze status and physical plumbing safety.
- Authorized Limited Data Transmission: To deliver core system functionality (such as localized weather adjustments, sunrise/sunset scheduling, and telemetry delivery), the User expressly authorizes Tidonix LLC to transmit limited, necessary operational data—including your ZIP code, geographic coordinates, local network IP address, hardware MAC address, and device telemetry—to current and future third-party infrastructure providers. Tidonix reserves the right to add, substitute, modify, or terminate any third-party integration or service provider at any time without notice. Section 8 explains what data is collected and how it is protected.
8. Your Data, Privacy & System Records
To run your pool safely, keep the system up to date, and support you, the Tidonix controller, the mobile app, and the web dashboards collect some information and send it to Tidonix's secure cloud servers (currently hosted by Amazon Web Services in the United States). This section explains, in plain language, what that information is and how we handle it. More detail, including how to exercise your privacy rights, is in our Privacy Policy.
- Equipment & operating data: readings and settings from your pool equipment, such as water and air temperature, pressure, flow, pump speed, relay and valve states, schedules, chemistry and sensor readings, energy and cost estimates, alarms, error and crash reports, firmware version, and a record of commands (what was changed, when, and whether it came from the app, the keypad, a schedule, a voice assistant, or a linked pool professional).
- Device & network details: the controller's serial number and device ID, MAC address, IP address, Wi-Fi signal strength, and connection status. The controller does not send your Wi-Fi password or your Home Assistant password to our servers; those stay on the controller.
- Account & location details you give us: your name, email address, phone number, service address, ZIP code, and the pool's map location (used for weather, sunrise/sunset, and freeze protection), plus the notification token your phone needs to receive alerts.
- Is this personal information? Equipment data on its own describes your pool, not you. Because it is connected to your account and address, however, we treat all of it as personal information and protect it accordingly.
- How we use it: to operate, monitor, and secure the system; to send alerts; to run weather-based and energy features; to diagnose problems, provide support, and process warranty claims; to deliver updates and safety patches; to improve our products (using combined or de-identified data where possible); to comply with the law; and to investigate incidents and protect our legal rights.
- Who can see it: you; the pool care company you choose (see Section 11): a short request summary when you ask it for service, and your equipment status, alerts, service records, and contact details once it accepts, for as long as it stays linked; Tidonix staff, only as needed to run, support, bill, and protect the service; and service providers that help us run the system (such as cloud hosting, weather and mapping services, notification delivery, payment processing, and voice assistants you enable), who may use it only to provide their service to us. We may also disclose information when required by law, to protect safety or our legal rights, or as part of a merger or sale of our business. We do not sell your personal information, and we do not share it for targeted advertising.
- System records & logs: the controller keeps a running log of system events, commands, alarms, and errors, and may save crash reports. To keep these records trustworthy, they are protected against tampering, and some check information about them is stored on our servers. You agree that these records may be used by Tidonix, and by you, to diagnose problems, evaluate warranty claims, and establish how the system operated in the event of a dispute. You agree not to alter, delete, or interfere with these records or their protection. Tampering with them voids the hardware warranty.
- How long we keep it: we keep account information while your account is active. If you delete your account, we delete or de-identify your personal identifiers within a reasonable time. We may keep de-identified equipment data, and system records, logs, and their check information, for security, warranty, legal, and claim-defense purposes for as long as reasonably necessary, generally up to seven (7) years.
- Security: the controller, app, and dashboards communicate over encrypted connections; each controller has its own unique security certificate; and access to our systems is restricted. No system is perfectly secure, so please protect your account password and keep your controller's software up to date.
- Your choices: you can view and update your account details in the app, unlink a pool care company at any time, and ask us for a copy of your information, a correction, or its deletion by writing to [email protected]. Depending on where you live, you may have additional privacy rights under state law; we will honor them and will not treat you differently for using them. You may also run the controller locally without an internet connection, which reduces the data it sends but disables cloud features and may affect your warranty (see Section 2).
- Children: the Tidonix System is intended for adults. It is not directed to anyone under 18, and we do not knowingly collect information from children.
9. Commercial Accounts, Billing & Account Deletion
Certain advanced fleet management capabilities, alerts, and multi-tenant reporting features may require paid subscriptions processed via third-party billing providers. Subscriptions renew automatically unless canceled prior to the billing cycle cutoff.
- Voluntary Account Deletion & Absolute Liability Release: If a user voluntarily deletes their Tidonix account via the mobile app or web dashboard, they intentionally sever the system from critical OTA safety updates and diagnostic monitoring. Consequently, deleting your account immediately and permanently voids all hardware warranties. Records kept after deletion are described in Section 8. Tidonix LLC assumes zero liability for any subsequent damages, malfunctions, or cascading failures that occur after an account has been deleted.
- Account Suspension & Remote Deactivation (The "Kill-Switch"): In the event of non-payment, suspected fraud, or a breach of these Terms, Tidonix LLC reserves the right to immediately suspend, revoke, or permanently delete your cloud account without prior notice. Tidonix may remotely sever the hardware's cloud connectivity and completely disable the device's automated functionality.
- Absolute User Responsibility for System Survival: If your account is suspended, deleted, or your device is remotely deactivated by Tidonix for non-payment or breach of terms, you assume 100% absolute responsibility for managing your underlying systems. You must keep your own facilities, equipment, and biological assets (including but not limited to swimming pools, irrigation networks, plants, crops, furnaces, or pressure vessels) protected, safe, and operational. This absolute responsibility applies regardless of whether manual physical overrides are present, possible, or functional on your equipment. If you are unable to manually control your system, it is your sole responsibility to hire a qualified third-party service, electrician, or maintenance company to restore operation at your own expense.
- Zero Liability for Deactivation Damages: Tidonix LLC shall not be held liable for any damages resulting from a service termination, remote device lockout, or the user's inability to manually operate their facility. This includes, but is not limited to, dead landscaping, crop loss, frozen plumbing, chemical imbalances, equipment overheating, or operational downtime.
- Survival of Financial Liability: Unlinking a device, having your account deleted, or having your device remotely deactivated by Tidonix does not absolve you of any outstanding financial liabilities. The user remains legally responsible for all past-due subscription invoices, chargebacks, and commercial fleet hardware fees owed to Tidonix LLC.
10. Intellectual Property, Cloud Access & Software License
All software, firmware binaries, mobile applications, dashboard code, user interfaces, schematics, and the "TIDONIX" mark, logos, and trade dress are the exclusive intellectual property of Tidonix LLC. You acknowledge and agree that all Tidonix firmware, software, and cloud applications are provided under license, and are not sold to you. Tidonix grants the original purchaser a revocable, non-exclusive, non-transferable license to run the embedded firmware and client applications solely on authorized Tidonix hardware. Reverse engineering, decompiling, extracting firmware, or deploying unauthorized clone hardware against Tidonix cloud infrastructure is strictly prohibited.
- Automatic Firmware Updates: By connecting the Tidonix Hardware to the internet, you expressly consent to Tidonix LLC automatically downloading and installing software and firmware updates over-the-air (OTA) without further notice. These updates are designed to improve, enhance, and securely patch the system. If you do not consent to automatic updates, your sole remedy is to disconnect the device from the internet and utilize it strictly as a localized controller.
11. Independent Service Providers ("Link" Feature)
The Tidonix Platform may provide diagnostic bridging tools enabling pool service companies to access client equipment data.
- Asking a company for service: when you send a request, the company sees your name, the pool's address and ZIP code, and the pool details you entered, so it can decide whether to accept. It does not see your equipment readings, alerts, email, or phone number until it accepts. Declining or canceling the request ends that access.
- While a company is linked: it can see your equipment status, alerts, service requests and visit records, and the contact details it needs to serve you. Its office staff and the technicians it assigns to your pool see what they need for their work. Its dashboard may keep an encrypted, short list of its clients (name, city, ZIP code, controller status, technician, and service day) on its own computer between visits, as described in our Privacy Policy. Unlinking the company in the app ends its access.
- If you are a pool care company using the Web Dashboard: you agree (a) to enter a client's personal details only with that client's permission; (b) to use client information only to serve that client, and not to sell it, export or copy client lists out of the dashboard, or use it for unrelated marketing; (c) to give dashboard access only to your own staff who need it, keep logins personal, and remove access as soon as someone leaves; (d) to keep the computers and phones used for the dashboard protected with a password or lock and up-to-date software; (e) to delete any copies you made of a client's information when that client leaves you or your agreement with Tidonix ends; and (f) to tell Tidonix at [email protected] promptly, and within 72 hours, if you learn that client information in your care may have been accessed by someone who should not have it. These duties are in addition to the B2B Master Service Agreement you accept when you register.
Tidonix LLC is not an employer, broker, insurer, or guarantor of any third-party pool service contractor. Any agreement, billing dispute, physical property damage, or chemical misapplication caused by an independent contractor is strictly between the User and said provider. You agree to release Tidonix LLC from any legal claims or liabilities arising out of third-party contractor actions.
12. Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 2 OF THIS AGREEMENT OR IN A WRITTEN LIMITED WARRANTY ACCOMPANYING THE HARDWARE, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TIDONIX HARDWARE, FIRMWARE, MOBILE APPLICATION, AND CLOUD SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TIDONIX LLC EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. TIDONIX DOES NOT WARRANT THAT THE SERVICE WILL OPERATE UNINTERRUPTED, SECURE, OR BUG-FREE.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TIDONIX LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES—INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, PROPERTY DAMAGE, POOL CRACKING, PLUMBING RUPTURE, CHEMICAL SURFACE ETCHING, WATER LOSS, ELECTRICAL OVERLOAD, OR INJURY—ARISING FROM THE USE OF OR INABILITY TO USE THE SYSTEM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
UNDER NO CIRCUMSTANCES SHALL THE AGGREGATE LIABILITY OF TIDONIX LLC EXCEED THE ACTUAL AMOUNT PAID BY THE USER FOR THE SPECIFIC TIDONIX HARDWARE CONTROLLER UNIT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless Tidonix LLC, its parents, officers, and successors from and against any third-party claims, liabilities, losses, damages, fines, and legal expenses (including reasonable attorney fees) arising from: (a) your use or misuse of the Tidonix Hardware, App, or Dashboard; (b) improper or non-code-compliant electrical installation; (c) your violation of these Terms; or (d) any physical incident occurring on the swimming pool premises.
15. Governing Law, Venue, & Mandatory Arbitration
This Agreement is governed by and construed under the laws of the State of Texas, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this Agreement or the Tidonix System shall be resolved through confidential, binding arbitration administered by the American Arbitration Association (AAA) in Tarrant County, Texas.
Class Action Waiver: YOU AGREE THAT ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR CONSOLIDATED PROCEEDING.
16. Force Majeure
Tidonix LLC shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, severe weather, freezing events, natural disasters, power grid failures, internet service provider (ISP) outages, third-party cloud infrastructure outages (e.g., Amazon Web Services), strikes, or governmental actions.
17. Time Limitation on Claims
YOU AGREE THAT ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE TIDONIX SYSTEM MUST BE COMMENCED WITHIN TWO (2) YEARS AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
18. Severability & Entire Agreement
These Terms constitute the entire agreement between you and Tidonix LLC regarding the use of the Tidonix Hardware, Software, and Cloud Services, superseding any prior agreements. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.
19. Modifications to Terms of Service
Tidonix LLC reserves the right, at our sole discretion, to modify, amend, or replace this Agreement at any time. While we may elect to notify active users of material changes via email, dashboard alerts, or in-app notifications, we are under no legal obligation to provide advance notice of any modifications.
- The Single Source of Truth: The most current and legally binding version of these Terms will always be maintained at https://tidonix.com/terms.html. It is your responsibility to check this page periodically for updates.
- Notices in the App: when a notice that the app shows before a feature is used changes (for example the water-care notes), the app asks you to accept the new version before you use that feature again. The version shown in the app when you use the feature applies.
- Acceptance by Continued Use: By continuing to access, power on, or use the Tidonix Hardware, Mobile App, or Web Dashboard after any revisions are posted, you explicitly agree to be bound by the updated terms. If you do not agree to the new terms, your sole remedy is to disconnect the hardware and cease using the Tidonix System.
